Nomadii, LLC — Terms of Service
Effective Date: August 16, 2025

1. Overview; Contract Formation
   These Terms of Service (Terms) are a binding agreement between you and Nomadii, LLC (Nomadii, we, us, our), a Delaware limited liability company headquartered in San Francisco, California. They govern your access to and use of the Nomadii iOS application, related websites (including nomadii.co), content, and services (collectively, the Service). By accessing or using the Service, you accept these Terms. If you do not agree, do not use the Service.
   We make the Service available worldwide where permitted by law. You must be legally capable of entering into a contract in your jurisdiction. If you use the Service on behalf of an entity, you represent you are authorized to bind that entity and “you” includes that entity.

2. Description of the Service
   Nomadii helps digital nomads discover destinations, generate itineraries, visualize time-zone schedules, and optionally apply for community matching and beta access. Core features may include: Sign-In via Apple or Google; onboarding to determine a “Nomad Archetype”; a WorldView/Globe of curated destinations with filters (for example, Archetype, Trending, Timezone Friendly, Value, Off-Peak, Strong WiFi, Good Weather, English Friendly, Walkability, Beaches, Mountains, Nightlife); country tracking; destination detail pages (for example, cost of living, Wi-Fi, safety, housing, neighborhoods, recommended months, activities, temperature); itinerary generation and viewing; time-zone timeline visualization; optional community matching; and an optional Pro Beta program. We may update, change, or remove features at any time.
   The Service uses third-party technologies and providers, which may include: Apple (App Store and Sign-In), Google (Sign-In/Analytics), Firebase (Auth/Firestore/Storage/Analytics/Crashlytics), RevenueCat (subscriptions), and large language model (LLM) providers (for example, OpenAI and potentially others) for itinerary and content generation.
   Our Privacy Policy explains how we collect and use information and is incorporated by reference into these Terms.

3. Accounts; Eligibility; Accuracy
   You must sign in (for example, Apple Sign-In or Google Sign-In) to use most features. Keep your credentials secure and do not share your account. You are responsible for all activity under your account. You agree to provide accurate information and to update it as needed.

4. Subscriptions; Free Trials; Billing; Taxes
   4.1 Subscription Required. The Service requires a paid subscription (monthly or annual) handled solely via Apple In-App Purchases and managed via RevenueCat. Prices and available terms are shown in the App Store interface.
   4.2 Auto-Renewal. Subscriptions auto-renew unless you cancel at least 24 hours before the current period ends. Manage or cancel in your Apple ID settings. Deleting the app does not cancel a subscription.
   4.3 Free Trial. We may offer a free trial (currently 3 days, and we may run promotional trials up to 7 days or otherwise change trial duration). Any change will be disclosed at the point of purchase in the App Store. If you do not cancel before the trial ends, your subscription will convert to a paid subscription per the terms you selected.
   4.4 Billing; Refunds. Apple handles billing. Unless required by law, refunds are processed by Apple under its policies. You are responsible for any taxes and carrier data charges.

5. License; Use Restrictions
   5.1 License. Subject to these Terms, Nomadii grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the app on Apple-branded devices you own or control, solely for personal, non-commercial use in accordance with the Apple App Store Terms and these Terms.
   5.2 Restrictions. You shall not: (a) copy, modify, translate, or create derivative works of the Service; (b) reverse engineer, decompile, or attempt to extract source code (except to the extent such restrictions are prohibited by law); (c) resell, lease, distribute, or make the Service available to third parties; (d) access the Service to build a competing product; (e) bypass or interfere with security or access controls; (f) use any scraping, spidering, or crawling technology without written permission; (g) use the Service for unlawful, harmful, fraudulent, harassing, or infringing purposes; or (h) submit content that is illegal, abusive, defamatory, obscene, or violates third-party rights.

6. User Content; Feedback
   6.1 User Content. You may submit information, preferences, and other content (for example, onboarding answers, itinerary inputs, community application, beta application). You retain ownership of your content. You grant Nomadii a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, reproduce, display, perform, adapt, and use your content to operate, provide, maintain, improve, and promote the Service, and to develop new features.
   6.2 Responsibility. You are solely responsible for your content and your interactions with others. Do not submit content you do not have rights to submit or that contains personal data of others without their consent.
   6.3 Feedback. If you provide ideas or suggestions, you grant Nomadii a perpetual, irrevocable, royalty-free license to use them for any purpose without compensation.

7. AI, Informational-Only Outputs; No Professional Advice; Assumption of Risk
   7.1 AI Outputs. The Service may use AI/LLMs to generate itineraries, summaries, images, recommendations, or other content. AI outputs can be inaccurate, incomplete, or outdated.
   7.2 Informational-Only. Outputs are provided for informational purposes only and are not travel, safety, immigration, medical, legal, financial, or other professional advice. You must independently verify critical information (for example, visas, safety, local laws, hours, prices, weather, health guidance).
   7.3 Travel Risks. Travel involves inherent risks, including but not limited to accidents, injuries, illness, crime, and property loss. You assume all risks arising from your travel choices and activities. Nomadii is not responsible for third-party vendors, venues, transportation, accommodations, activities, or events, even if surfaced by the Service.

8. Location and Device Features
   If you grant permission, we may use precise and/or coarse location (foreground and/or background, subject to device settings) to determine your time zone, suggest nearby destinations, and support community matching. You can control location permissions in iOS Settings. Some features may be limited if location is disabled. Device and usage data may be used for diagnostics and analytics.

9. Community Matching; Code of Conduct; Release
   Community matching is optional and not guaranteed. By participating, you consent to be contacted about potential matches. You agree to be respectful, lawful, and safe in any interactions. We do not run background checks or verify user identities. You are solely responsible for interactions and any offline meetings. To the maximum extent permitted by law, you release Nomadii from claims arising from interactions with other users or third parties. If you are a California resident, you waive California Civil Code § 1542 (and similar laws) with respect to such release, acknowledging it covers unknown and unsuspected claims.

10. Beta Program (Pro Beta) Terms
    If you opt into Pro Beta access (including via the “Can’t afford” flow), you may receive pre-release features that can be unstable, incomplete, or change rapidly. Diagnostics and analytics may be more extensive to improve quality. The Beta is provided AS IS, may be terminated at any time, and may never be released. 11. Third-Party Services; Links
    The Service may reference or integrate third-party sites, services, content, or APIs (for example, Apple, Google, Firebase, RevenueCat, LLM providers, mapping, places, and commerce platforms). Nomadii does not control and is not responsible for third-party services; those are governed by their own terms and privacy policies. Your dealings with third parties are solely between you and the third party.

12. Ownership; IP
    The Service, including software, content, trademarks, logos, and all intellectual property rights, is owned by Nomadii or its licensors and is protected by law. Except for the limited license granted in Section 5, no rights are granted to you.

13. Term; Suspension; Termination
    These Terms remain effective until terminated. We may suspend or terminate your access (with or without notice) if we believe you violated these Terms, pose risk, or if we discontinue the Service. You may stop using the Service at any time. Sections that by their nature should survive (including 6–23) will survive termination.

14. Warranty Disclaimers
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE (INCLUDING BETA FEATURES) IS PROVIDED AS IS AND AS AVAILABLE, WITH ALL FAULTS. NOMADII, ITS FOUNDERS, CO-FOUNDERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS (COLLECTIVELY, THE NOMADII PARTIES) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND NON-INTERRUPTION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.

15. Limitation of Liability; Allocation of Risk
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE NOMADII PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOSS OF DATA; BUSINESS INTERRUPTION; OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE NOMADII PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NOMADII (IF ANY) FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
    SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES OR THE EXCLUSION OF CERTAIN WARRANTIES. IN THOSE JURISDICTIONS, THE LIABILITY OF THE NOMADII PARTIES WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS SEEKS TO LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW.

16. Indemnification
    You will defend, indemnify, and hold harmless the Nomadii Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your content; (c) your violation of these Terms or applicable law; or (d) your interactions with other users or third parties.

17. App Store Terms; Apple as Third-Party Beneficiary
    You acknowledge these Terms are between you and Nomadii only, not Apple. Apple has no responsibility for the app or its content. Your use of the app must comply with the App Store Terms of Service. Apple has no obligation to furnish maintenance or support. To the extent any warranty applies that cannot be disclaimed, Apple may refund the purchase price (if any). Apple is a third-party beneficiary of these Terms with the right to enforce them against you to the extent they relate to Apple.

18. Export; Sanctions; Compliance
    You must comply with all applicable export control, sanctions, and anti-corruption laws. You may not use or access the Service if you are located in, under the control of, or a national or resident of any country or territory subject to U.S. embargoes or sanctions, or if you are on any U.S. government restricted party list.

19. Dispute Resolution; Arbitration; Class Action Waiver
    Please read this section carefully. It affects your rights.
    19.1 Informal Resolution. Before filing a claim, you agree to email us at [contact@nomadii.co](mailto:contact@nomadii.co) with a brief description and your contact information so we can attempt to resolve the issue informally within 30 days.
    19.2 Arbitration Agreement. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act (FAA) governs interpretation and enforcement of this arbitration agreement.
    19.3 Location; Procedure. The seat and venue of arbitration will be New York County, New York, USA; proceedings may be conducted via documents, video, or in-person at the arbitrator’s discretion. The language is English. Each party pays its own fees and costs, except as the rules or law provide otherwise.
    19.4 Individual Basis Only. You and Nomadii agree that arbitration will take place on an individual basis only. Class, collective, consolidated, or representative actions or arbitrations are not permitted. The arbitrator may award relief only in favor of the individual party seeking relief.
    19.5 Small Claims; Injunctive Relief. Either party may bring an individual action in small claims court with jurisdiction. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction in New York County, New York, to preserve the status quo pending arbitration.
    19.6 Opt-Out. You may opt out of this arbitration agreement within 30 days of your first use of the Service by emailing [contact@nomadii.co](mailto:contact@nomadii.co) with subject “Arbitration Opt-Out” and your name and account email. Opting out does not affect other provisions of these Terms.

20. Governing Law; Venue
    These Terms and any non-arbitrable disputes are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, and the FAA for arbitration matters. Subject to Section 19, the exclusive venue for permitted court actions is the state and federal courts located in New York County, New York, USA, and you consent to their jurisdiction.

21. Changes to the Service or Terms
    We may modify the Service (including features, trial durations, and pricing) or these Terms at any time. If we make material changes, we will provide reasonable notice (for example, in-app or on our site). The updated Terms will be effective upon posting, unless otherwise stated. Your continued use after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service and cancel any subscription through your Apple ID settings.

22. Force Majeure
    Nomadii is not liable for delays or failures due to events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, government actions, utility failures, network or platform outages, or third-party service disruptions.

23. Miscellaneous
    23.1 Entire Agreement. These Terms (including the Privacy Policy and any policies referenced herein) are the entire agreement between you and Nomadii regarding the Service and supersede prior agreements.
    23.2 Severability; Waiver. If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver.
    23.3 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or asset sale.
    23.4 Notices. We may provide notices via the Service, email, or by posting to our website. You consent to electronic communications.
    23.5 Survival. Sections 6–23 survive termination.
